1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of TextPense (the "Service"), operated by 9548-3293 Québec inc. ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

TextPense is an expense tracking service that allows you to log expenses by sending SMS text messages to a designated phone number. Our system uses artificial intelligence to parse your messages and extract expense details such as amount, merchant, and category. You can also manage expenses, view reports, and set budgets through the web dashboard at textpense.app.

3. Account Terms

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your password and for all activity under your account. You must be at least 18 years old to use the Service.

Account creation may be subject to admin approval. We reserve the right to refuse, suspend, or terminate accounts at our discretion.

4. Subscriptions and Billing

TextPense may offer free trials and paid subscription plans. Details of available plans, pricing, and features are displayed on the Service.

• Free Trial: New users may receive a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service.
• Billing: Paid subscriptions are billed on a recurring basis (monthly or annually) through Stripe. You authorize us to charge your payment method on file.
• Cancellation: You may cancel your subscription at any time through the Service. Access continues until the end of the current billing period.
• Refunds: Payments are generally non-refundable, except as required by applicable law or at our discretion.
• Price Changes: We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Interfere with or disrupt the Service or its infrastructure
• Send spam, abusive, or excessive messages through the SMS interface
• Use the Service to process, store, or transmit illegal content
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Share your account credentials with third parties or allow others to access your account

6. Your Data and Content

You retain ownership of the expense data and content you submit to the Service. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service. We handle your data in accordance with our Privacy Policy.

You are responsible for maintaining your own backups of important data. While we take reasonable measures to protect your data, we are not liable for data loss.

7. AI-Powered Processing

The Service uses artificial intelligence to parse expense information from your SMS messages. While we strive for accuracy, AI parsing may occasionally produce incorrect results. You are responsible for reviewing and correcting your expense records. We are not liable for decisions made based on AI-parsed data.

8. SMS and Messaging

By providing your phone number and using the SMS feature, you consent to receive text messages from the Service in response to your expense submissions. Standard messaging rates from your carrier may apply. You can stop using the SMS feature at any time by removing your phone number from your account settings.

9. Intellectual Property

The Service, including its design, features, and underlying technology, is the property of 9548-3293 Québec inc. and is protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

In no event shall 9548-3293 Québec inc., its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless 9548-3293 Québec inc. from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including limitation of liability, indemnification, and governing law) will continue to apply.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Québec, Canada, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Québec, Canada.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Service or by email at least 30 days before the changes take effect. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
